GreenhouseOS Terms of Service

These Terms of Service ("Terms") govern access to and use of GreenhouseOS, including the GreenhouseOS web application, console, websites, APIs, data tools, reports, recommendations, communications, and related services (collectively, the "Service"). These Terms are between GreenhouseOS Inc. ("GreenhouseOS," "we," "us," or "our") and the company, organization, or person that creates an account, pays for, accesses, or uses the Service ("Customer," "you," or "your").

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that company or organization to these Terms. If you do not agree to these Terms, do not access or use the Service.

1. The Service

GreenhouseOS provides greenhouse operations software for planning, crop records, orders, customers, production batches, greenhouse space, inventory, task workflows, plant and chemical reference information, recommendations, analytics, and related operational tools.

GreenhouseOS is a software and data service. It does not replace professional judgment, pesticide labels, crop culture guides, supplier confirmations, legal advice, financial advice, safety review, or compliance obligations. You are responsible for how you use the Service and for verifying any operational recommendation before acting on it.

2. Accounts, Tenants, and Authorized Users

Each Customer account may include one or more company workspaces, users, roles, sites, and related operational records. You are responsible for:

  • Keeping login credentials secure.
  • Ensuring each user is authorized to access your workspace.
  • Removing users who should no longer have access.
  • Maintaining accurate account, billing, and company information.
  • All activity occurring under your account, except to the extent caused by GreenhouseOS's breach of these Terms.

GreenhouseOS may suspend, limit, or terminate access if we reasonably believe an account is unpaid, fraudulent, insecure, abusive, unlawful, or harmful to the Service or other customers.

3. Subscriptions, Billing, and Access

Paid subscriptions are billed through GreenhouseOS or a third-party payment processor such as Stripe. Pricing, billing intervals, included features, usage limits, and renewal terms are shown during checkout, in an order form, or inside the Service.

Unless otherwise stated:

  • Subscription fees are due in advance.
  • Subscriptions automatically renew until canceled.
  • You authorize GreenhouseOS and its payment processors to charge applicable fees, taxes, and other amounts.
  • Monthly fees are non-refundable once the monthly service term has started, except where required by law or expressly agreed in writing.
  • If you prepay for a service term that has not started, GreenhouseOS may refund the unused prepaid amount to the original payment method if cancellation occurs before that service term begins.
  • If you cancel during a paid service term, cancellation stops renewal for the next term, but you retain access through the end of the paid term unless access is suspended for breach, security, fraud, or legal reasons.
  • Failure to pay may result in suspension or termination of access.

You will have access to some or all of your Customer Content and account data while your account remains active and paid, subject to plan limits, system status, security controls, and these Terms. If your subscription ends, is canceled, or becomes unpaid, GreenhouseOS may limit or remove access to the Service and your workspace. Unless required by law or agreed in a signed order form, GreenhouseOS does not guarantee an export window after the end of the paid term. You are responsible for exporting or copying any information you need before access ends.

If you sign a custom order form, master services agreement, enterprise agreement, or other written agreement with GreenhouseOS, that signed agreement may override conflicting online Terms only to the extent it expressly says so.

4. Customer Content

"Customer Content" means data, records, files, text, images, documents, customer lists, orders, batches, inventory records, greenhouse layout information, notes, user entries, and other materials submitted to or generated through your workspace by you or your authorized users.

As between you and GreenhouseOS, you retain ownership of Customer Content that you independently created and submitted to the Service, subject to the rights and licenses granted to GreenhouseOS in these Terms. You are responsible for ensuring that you have the rights and permissions needed to submit Customer Content to the Service.

You grant GreenhouseOS a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, process, transmit, display, modify, analyze, create derivative works from, and otherwise use Customer Content as needed to:

  • Provide, secure, operate, maintain, and improve the Service.
  • Support users and troubleshoot issues.
  • Create recommendations, summaries, predictions, alerts, reports, benchmarks, models, and analytics.
  • Develop, train, validate, improve, and commercialize GreenhouseOS products, services, algorithms, artificial intelligence, machine learning systems, data products, and business offerings.
  • Comply with law, enforce these Terms, prevent fraud or abuse, and protect GreenhouseOS, customers, users, and the public.

This license continues for as long as needed for the purposes above, including after account termination where permitted by law, especially for backup, audit, security, de-identified, aggregated, derived, analytical, model, and legal compliance purposes.

5. GreenhouseOS Data, Derived Data, and Aggregated Data

GreenhouseOS owns the Service, software, workflows, interfaces, templates, databases, source libraries, taxonomies, schemas, models, scoring systems, algorithms, benchmarks, documentation, and all related intellectual property.

Except for personal profile information and other data that applicable law says cannot be owned, retained, or used in this way, GreenhouseOS owns and may retain the operational records, system-generated records, metadata, calculations, recommendations, summaries, normalized records, structured records, data models, insights, analyses, statistics, patterns, derived data, de-identified data, anonymized data, and aggregated data created, stored, processed, inferred, or generated by or for GreenhouseOS through use of the Service ("GreenhouseOS Data").

GreenhouseOS Data includes, without limitation, crop timing information, production history, task history, order and demand patterns, space utilization, inventory patterns, pest or disease signals, chemical-use patterns, labor and workflow patterns, supplier and availability signals, benchmark data, model outputs, and other operational intelligence, provided that GreenhouseOS will handle personal information as described in the Privacy Policy and applicable law.

You agree that GreenhouseOS may use, disclose, license, sell, publish, and commercialize GreenhouseOS Data for any lawful purpose, including product improvement, industry benchmarks, crop planning models, supplier insights, market analytics, research, partnerships, advertising, sponsorships, and commercial data products.

GreenhouseOS will not intentionally disclose your raw Customer Content to unrelated third parties in a way that directly identifies your company as the source, except as described in these Terms, in the Privacy Policy, with your consent, to provide the Service, for support or security, to service providers, in business transfers, or as required by law. GreenhouseOS may disclose, sell, license, or publish GreenhouseOS Data that has been aggregated, anonymized, de-identified, transformed, or otherwise prepared so that it does not identify you, your company, your users, or your customers in a manner prohibited by applicable law.

6. Personal Information

Personal information is handled under the GreenhouseOS Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls for personal information.

You acknowledge that operational greenhouse data and business records may include personal information, such as names, email addresses, phone numbers, user activity, customer contacts, employee notes, or other identifiable information. You are responsible for providing required notices and obtaining required permissions from your employees, contractors, customers, and other individuals whose personal information you submit to the Service.

7. Promotional Communications

GreenhouseOS may send operational, transactional, billing, product, support, security, and administrative messages. GreenhouseOS may also send promotional, educational, newsletter, partner, sponsor, industry, or marketing communications where permitted by law. Users may unsubscribe from promotional emails using the unsubscribe mechanism in those emails, but may still receive non-promotional account or service messages.

8. Acceptable Use

You may not:

  • Use the Service unlawfully or in violation of any regulation, pesticide label, safety requirement, export control, privacy law, or third-party right.
  • Access or attempt to access another customer's data without authorization.
  • Interfere with, disrupt, reverse engineer, scrape, overload, or compromise the Service.
  • Upload malware, harmful code, illegal content, or content you do not have rights to use.
  • Misrepresent identity, affiliation, crop data, chemical data, customer information, payment information, or account authority.
  • Use the Service to develop or train a competing product without written permission.
  • Remove proprietary notices or attempt to copy the Service's source code, design, workflows, databases, or models.

GreenhouseOS may investigate suspected violations and suspend or terminate accounts where appropriate.

9. Crop, Chemical, Safety, and Compliance Disclaimers

GreenhouseOS may provide crop timing, cultural information, chemical reference data, pesticide label links, mix helpers, pest suggestions, risk alerts, production suggestions, space planning information, inventory signals, and other operational recommendations.

You understand and agree:

  • The Service may contain errors, omissions, stale information, incomplete data, or recommendations that are not suitable for your operation.
  • Crop results depend on genetics, environment, weather, light, temperature, labor, water, fertility, disease, pests, supplier performance, chemical use, facility condition, and other factors outside GreenhouseOS's control.
  • Chemical labels, pesticide laws, safety data sheets, EPA or state registrations, worker protection standards, and applicable law always control over anything shown in GreenhouseOS.
  • You are solely responsible for verifying rates, crops, sites, PPE, restricted-entry intervals, pre-harvest intervals, tank compatibility, application methods, local legality, and safety before using any chemical.
  • GreenhouseOS does not guarantee crop success, yield, quality, timing, profitability, regulatory compliance, pest control, inventory availability, labor performance, or customer satisfaction.

The Service is decision support, not a guarantee.

10. Third-Party Services and Data

The Service may integrate with or display data from third-party services, suppliers, payment processors, email providers, hosting providers, analytics providers, government sources, label sources, document sources, or other partners. GreenhouseOS is not responsible for third-party services, content, data accuracy, pricing, availability, terms, or privacy practices.

If you connect a third-party service, you authorize GreenhouseOS to access, use, import, export, and process data from that service as needed to provide the Service.

11. Intellectual Property Feedback

If you provide feedback, suggestions, ideas, requests, bug reports, workflows, improvement concepts, or similar input, you grant GreenhouseOS a perpetual, irrevocable, worldwide, sublicensable, transferable, royalty-free license to use, modify, commercialize, and incorporate that input without restriction or compensation.

12. Confidentiality

Each party may receive confidential business, technical, financial, operational, or non-public information from the other. The receiving party will use reasonable care to protect confidential information and will use it only for purposes permitted by these Terms. Confidential information does not include information that is public, independently developed, rightfully received from another source, or de-identified/aggregated so that it no longer identifies the disclosing party.

GreenhouseOS may use Customer Content and related information as permitted under Sections 4 and 5.

13. Security

GreenhouseOS uses reasonable administrative, technical, and organizational safeguards designed to protect the Service. No system is perfectly secure. You are responsible for account security, user permissions, device security, and promptly notifying GreenhouseOS of suspected unauthorized access.

14. Beta, Experimental, and Preview Features

GreenhouseOS may offer beta, preview, experimental, or not-yet-final features. These features may be incomplete, inaccurate, unstable, changed, limited, or discontinued at any time. They are provided "as is" and may be excluded from service commitments.

15. Service Changes and Availability

GreenhouseOS may modify, suspend, replace, limit, or discontinue features, pages, plans, data sources, workflows, or parts of the Service at any time. We may perform maintenance, updates, migrations, or emergency changes. We do not guarantee uninterrupted or error-free service.

16. Termination

You may stop using the Service at any time. Subscription cancellation terms are governed by your plan, checkout terms, order form, or billing portal.

GreenhouseOS may suspend or terminate access if:

  • Fees are unpaid.
  • You breach these Terms.
  • Your use creates risk or harm.
  • We believe the account is fraudulent, insecure, or unlawful.
  • We discontinue the Service or a material part of it.

After termination, GreenhouseOS may delete, retain, restrict, anonymize, aggregate, or de-identify Customer Content and account data as permitted by law, these Terms, and the Privacy Policy. Sections that by nature should survive termination will survive, including payment obligations, data rights, intellectual property, disclaimers, limitations of liability, indemnity, and dispute terms.

17. Warranty Disclaimer

To the fullest extent permitted by law, the Service is provided "as is" and "as available." GreenhouseOS disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and reliability.

GreenhouseOS does not warrant that the Service will be uninterrupted, error-free, secure, accurate, complete, current, or suitable for your particular greenhouse operation.

18. Limitation of Liability

To the fullest extent permitted by law, GreenhouseOS and its owners, officers, employees, contractors, suppliers, licensors, and partners will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of crops, loss of yield, loss of customers, loss of business, loss of goodwill, loss of data, production delay, regulatory penalties, chemical misuse, labor disruption, or supplier issues.

To the fullest extent permitted by law, GreenhouseOS's total liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:

  • The amount you paid to GreenhouseOS for the Service in the three months before the event giving rise to the claim; or
  • $100.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

19. Indemnification

You will defend, indemnify, and hold harmless GreenhouseOS and its owners, officers, employees, contractors, suppliers, licensors, and partners from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from:

  • Your Customer Content.
  • Your use or misuse of the Service.
  • Your crop, chemical, safety, labor, regulatory, customer, supplier, or operational decisions.
  • Your breach of these Terms.
  • Your violation of law or third-party rights.
  • Your failure to provide required notices or obtain required consents.

20. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles.

Before filing a claim, each party will attempt to resolve disputes informally by written notice and good-faith discussion for at least 30 days. Any legal action will be brought in the state or federal courts located in Grundy County, Illinois, or the federal court district that includes Grundy County, Illinois, and each party consents to those courts, unless another dispute process is required by applicable law or a signed agreement.

21. Changes to These Terms

GreenhouseOS may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Material changes may also be communicated by email, in-app notice, or other reasonable means. Continued use of the Service after changes become effective means you accept the updated Terms.
